Terms of Service

Introduction

These Terms of Service ("Terms," "Agreement," or "ToS") constitute a legally binding agreement between you ("User," "you," or "your") and PrimeBuild Designs ("Company," "we," "us," "our," or "Provider"). 3. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PRIMEBUILD DESIGNS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

11. Governing Law and Jurisdiction

These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Franklin County, Ohio, for the resolution of any disputes arising out of or relating to these Terms or your use of the Site.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any legal action, you agree to attempt to resolve any dispute informally by contacting us at alex@primebuilddesigns.com or (614) 401-6428. We will attempt to resolve the dispute within thirty (30) days of receiving your notice.

12.2 Binding Arbitration

If the dispute cannot be resolved informally, you and PrimeBuild Designs agree to submit to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Columbus, Ohio, and shall be governed by Ohio law. Each party shall bear its own costs and attorneys' fees, and the parties shall share the arbitrator's fees equally.

12.3 Class Action Waiver

You agree that any arbitration or legal action shall be conducted on an individual basis and not as a class action, collective action, or representative action. You waive your right to participate in any class action or collective action against PrimeBuild Designs.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and PrimeBuild Designs regarding your use of the Site and supersede all prior and contemporaneous agreements, understandings, and negotiations, whether written or oral.

15. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. A waiver of any provision must be in writing and signed by us to be effective.
